COLTENE Rewards – Terms and Conditions (April 2023)
COLTENE Rewards (the “Programme”) is a loyalty rewards programme offered by COLTENE Holdings AG (“we”, “us”, “our”) to eligible customers. The Programme is accessible at at www.rewards.coltene.com/uk/ (the “Site”) and the authorised user in the UK is COLTENE WHALEDENT LTD
We are registered in England and Wales under company number 01959378 and have our registered office at President Suite A, Kendal House, Kendal Way, Burgess Hill, RH15 9NF. Our VAT number is 435945035.
The Programme allows an eligible customer (“Programme Member”) to collect Coins on purchases made, of eligible items (“Eligible Purchases”) and to redeem those Coins against rewards products, always in accordance with these terms and conditions and any other terms referenced in this document (the “Programme Terms”). By joining the Programme, you agree to be bound by these Programme Terms.
Programme Member will here forth be referred to as “you” or “your”.
We may, at our sole discretion, restrict, suspend, amend, extend or otherwise alter the Programme and/or the Programme Terms at any time and without prior notice to you, including any member levels or rates for Loyalty Coins included in the Programme.
If the Programme Terms are updated, we will post the new Programme Terms on the Site. In case the Programme would be suspended or terminated without prior notice to you, you will have the right to redeem your Loyalty Coins from the date that the suspension or termination of the Programme will be posted on the Site. We encourage all Programme Members to review the Programme Terms each time they access the Site or seek to earn and redeem Loyalty Coins.
You understand and acknowledge that the Programme is intended to be a promotional Programme.
Membership is free and no initial purchase is required in order to become a Programme Member.
Membership to the Programme is only available if: (a) you are a registered dental or healthcare professional in the UK, and are registered with the General Dental Council (“GDC”) and hold a valid medical practitioner licence; and (b) you are purchasing products for your own business use and not for resale; or (c) you are purchasing on behalf of a dental or healthcare professional who satisfies the requirements at (a) and (b) above.
You may be required to provide us with your GDC registration number and VAT number (or evidence of your VAT exemption) when you set up your Account with us.
Closing your account
If you choose to Close your account, you will not be able to earn Loyalty Coins on any purchases made.
If you Close your account, you will not be permitted to earn or redeem any Loyalty Coins, in addition, you will forfeit any remaining balance of Loyalty Coins in your Account as at the date of closure and your balance will revert to zero.
We reserve the right, in our sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to us): (i) for the purposes of verifying your eligibility to participate in the Programme; (ii) for the purposes of verifying the legitimacy and/or accuracy of information you provide to us; and (iii) for any other reason we deem necessary for the purposes of administering the Programme. Failure to provide such proof to our reasonable satisfaction, within the timeline specified by us, may result in your disqualification from the Programme.
In order to participate in the Programme, you will have to register and create an Account with us and provide one or more names, email addresses, login usernames and passwords (collectively, “ID”). You are responsible for maintaining the confidentiality of your ID. You are responsible for any and all activity that occurs on your Account. If you suspect any unauthorised use of your Account, you must notify us immediately.
We assume no liability or responsibility for Loyalty Coins redeemed by any unauthorised person through your Account prior to you notifying us that your Account has been compromised. Any Loyalty Coins redeemed prior to notification are at your own risk.
You agree to always provide us with correct and complete Account information and to inform us of any changes to the information you have provided. We will keep your ID confidential.
Please note, there is a limit of one Account per dental practice and we reserve the right to reject any application for, and/or to suspend, an Account if we suspect there are multiple Accounts at one practice.
Suspension and Account Closure
If we believe you have abused any of the Programme’s privileges, or you fail to comply with any of these Programme Terms, or make any misrepresentation to us, we may, in our sole discretion, take such action as we deem appropriate, including suspending your privileges under the Programme, revoking any or all of your Loyalty Coins, and/or revoking your participation in the Programme altogether and closing your Account, in each case, with or without advance notice to you.
Loyalty Coins will not be awarded if, in our reasonable opinion, the products purchased with your Loyalty Coins will be used for resale or non-clinical use.
An Account is deemed to be inactive if Loyalty Coins are not earned via an invoice upload for a period of 2 (two) years since your last uploaded invoice. Once an Account is deemed to be inactive, all Loyalty Coins in such Account may, in our sole discretion, be deemed to have been forfeited by you, with or without notice.
You may elect to Close your account at any time by submitting written notification. Once you elect to no longer participate in the Programme, no further Loyalty Coins will accrue on purchases made. Any Loyalty Coins in your Account as of such time will remain available to you for a period of 90 days. Thereafter, all Loyalty Coins will be reduced to zero (0) and forfeited.
We will award Loyalty Coins on Eligible Purchases.
Coins can be earned by you in connection with Eligible Purchases on submission of proof of purchase being uploaded. Loyalty Coins are awarded to your Account within 72 hours of you placing the order. No Loyalty Coins accrue on purchases until your Account has been approved and activated by us. Loyalty Coins cannot be added to your Account retroactively.
Loyalty Coins will be calculated and earned based on the current RRP of the purchased product at the time of purchase.
Loyalty Coins can be redeemed against products by COLTENE and on against our selected partners via the programme. In order to redeem Loyalty Coins on a purchase, you must have sufficient Loyalty Coins to cover the entire purchase price of the product (which includes delivery costs) at the time of redemption. Part payment using Loyalty Coins is not permitted.
The redemption rate for Loyalty Coins, for all members is 0.01 GBP/EUR per Loyalty Point.
Your Loyalty Coins balance will expire if your account is marked as inactive (see Inactivity above).
In the event of a return or exchange of any product that earned Loyalty Coins, such Loyalty Coins will be deducted from the Account that was used for the purchase. Loyalty Coins will be deducted at the same rate as they were earned.
Upon the return and/or exchange of products awarded through the redemption of Coins, all redeemed Coins will be forfeited.
Loyalty Coins cannot be assigned, exchanged, traded, bartered, purchased or given by gift or otherwise sold (this includes any transfers to your estate, successors or heirs). Any Loyalty Coins so acquired are void.
From time to time, we may advertise or run exclusive offers to select Programme Members to earn or redeem Loyalty Coins.
We do not guarantee the continued availability of any reward, redemption level, or any other benefit under the Programme, and we assume no liability with regard to the addition or deletion of items from or for which Loyalty Coins can be collected and/or redeemed.
Loyalty Coins earned through participating in this Programme may be subject to tax. You are solely responsible for any tax liability which may arise and for any other fees charged by governmental or non-governmental agencies as a result of your participation in the Programme. Without prejudice to the foregoing, you are personally liable for any and all costs, charges, claims or liabilities of whatever nature arising from your membership of the Programme.
We will not be liable to you for any loss of profit, goodwill, reputation or opportunity howsoever incurred (including, without limitation, as a result of our negligence or as a result of the termination of, or changes to, the Programme or as a result of the cancellation or revocation of Loyalty Coins and/or the membership of any Programme Member).
Our liability in all other respects (save for death or personal injury caused by negligence on our part) shall be limited to the value of the Loyalty Coins which are the subject of the dispute.
Except as expressly stated in these Programme Terms, we do not give any representations, warranties or undertakings in relation to the Programme. Any representation, condition or warranty which might be implied or incorporated into these Programme Terms by statute, common law or otherwise is excluded to the fullest extent permitted by law.
In the event that any provision in these Programme Terms is determined to be invalid, illegal, or unenforceable, such determination shall not affect the validity and enforceability of any other remaining provisions of these Programme Terms.
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Programme Terms that is caused by any act or event beyond our reasonable control.
These Programme Terms will be governed by Swiss law. Any dispute arising from, or related to, these Programme Terms shall be subject to the exclusive jurisdiction of the courts of Switzerland.
